Performer Terms and Conditions of Service for DL Pure Magic LTD.

Please read these Terms and Conditions carefully before engaging with our services. By accepting a booking from DL Pure Magic LTD, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not accept the booking.

These Terms and Conditions form a binding contract between the Performer and DL Pure Magic LTD. By confirming your engagement, you acknowledge that you have read, understood, and agreed to these terms in full.

1. DEFINITIONS

1.1 “Agent” means DL Pure Magic LTD.
1.2 “Artist” means a person who accepts the Agent’s Offer of Engagement.
1.3 “Client” means any third party that negotiates with the Agent to procure the services of the Artist for an Engagement.
1.4 “Engagement” means the employment or use of the Artist by the Client, or any third party introduced by the Client, on a short-term basis.
1.5 “Terms and Conditions” means the terms and conditions set out in this document.
1.6 “Performance Fee” means the sums due to the Artist from the Agent for an Engagement.
1.7 “Booking Confirmation” means the contract between the Agent and the Artist for services, incorporating these Terms and Conditions.

2. GENERAL

2.1 These Terms and Conditions supersede any other documentation or communication between the parties.
2.2 Any variation to these Terms and Conditions must be agreed in writing by the Agent.
2.3 These Terms and Conditions shall be provided with any Booking Confirmation and
2.3.1 signed and returned by the Artist, or
2.3.2 read and agreed to online by the Artist.
2.4 The Agent reserves the right to modify these Terms and Conditions, provided the Artist is notified prior to accepting any new Engagement.

3. BOOKING CONFIRMATION

3.1 The Booking Confirmation must be accepted by the Artist in its entirety.
3.2 The Artist must invoice the Agent after the event date. Payment will be made within 14 days of receiving the invoice or the event date, whichever is later.
3.3 The Agent reserves the option to cancel this contract and take the work himself if the event is changed to another date when the Agent is available.

4. CLIENT CONTACT

4.1 The Artist shall not contact the Client directly. The Agent remains the main point of contact. The Artist may contact the Client upon arrival if necessary or in case of an emergency.

5. PROFESSIONAL APPEARANCE

5.1 The Artist shall look smart and presentable and adhere to the dress code or performance attire specified for the event.

6. LIABILITY, INSURANCE, AND TAXES

6.1 The Artist assumes all liability for their performance and releases the Agent from any related legal liability.
6.2 The Artist must maintain public liability insurance with a minimum cover of Five Million Pounds and provide proof to the Agent.
6.3 The Artist is responsible for the payment of any tax, National Insurance, VAT, and other payments required by them under law.

7. CONFIDENTIALITY AND NON-COMPETE

7.1 The Artist shall not disclose any information about the Agent’s business, including client names, marketing methods, or contract terms.
7.2 The Artist shall not seek or take any future work from the Client or related entities for a period of 15 years after the Engagement and shall direct all such opportunities back to the Agent.
7.3 The Artist shall not distribute personal business cards or promotional materials, and shall instead direct all inquiries to the Agent.

8. PERFORMANCE OBLIGATIONS

8.1 The Artist shall perform to the highest standard, adhere to the event schedule, and comply with all venue rules.
8.2 The Artist shall not use pyrotechnics, explosives, fire, or hypnotism unless explicitly agreed in writing by the Agent and Client.
8.3 The Artist shall not subcontract or refer the booking to other parties.

9. CANCELLATION AND FORCE MAJEURE

9.1 The Artist may only cancel due to Force Majeure or illness, with reasonable proof provided to the Agent.
9.2 The Agent reserves the right to cancel or reassign the Engagement if the event date changes and shall not be liable to pay a cancellation fee to the Artist.
9.3 The Artist shall notify the Agent immediately if they are unable to attend for any reason.

10. MEDIA AND SOCIAL MEDIA RESTRICTIONS

10.1 The Artist shall not take photos, record videos, or post on social media about the event or Client without prior approval.
10.2 The Artist shall not solicit reviews or recommendations from the Client.

11. INDEMNITY

11.1 The Artist shall indemnify the Agent against any claims, damages, or losses arising from their performance or actions during the Engagement.

12. ENTIRE AGREEMENT

12.1 These Terms and Conditions represent the entire agreement between the parties and shall be governed by and construed in accordance with the laws of England. The parties submit to the exclusive jurisdiction of the English courts.
